Terms of Service

These terms are an agreement between you and Zimac.AI (“Zimac,” “we,” “us”) covering the Zimac desktop and mobile apps (the App) and our hosted services — accounts, the Zimac proxy, prepaid credits, and the team relay (the Platform). By installing the App or using the Platform, you agree to them. If you are using Zimac under a separate written agreement between us and your employer (for example a Zimac Enterprise license), that agreement governs where the two differ.

The App is local-first: your durable chats, memory, notes, documents and profiles live on your device, not as a server-side Zimac copy. You own all of it; we claim no rights to it. Model requests still send the prompt and selected context to the model route you choose. Three consequences are worth stating plainly:

When you use the proxy, the content of your requests transits our servers solely to be forwarded to the model provider and streamed back; we meter it, we don't keep it (see the Privacy Policy).

6. Acceptable use

Use Zimac lawfully and reasonably. Don't: share or resell seat tokens or license keys outside your org; probe, overload or disrupt the Platform; use the proxy in ways that violate your model provider's usage policies (for Anthropic models, Anthropic's Usage Policy applies to the underlying model calls); or use the service to develop competing scraped datasets. Don't reverse-engineer the App except where the law says we can't stop you.

7. AI outputs

Zimac's assistants generate content with AI models. Outputs can be wrong, incomplete, or confidently misleading. The App is built to propose while you dispose — consequential actions wait for your approval — and that division of labor is also the legal one: you are responsible for reviewing outputs and for the decisions you make with them. Zimac is not professional advice of any kind.

8. Third parties

Payments are processed by Stripe under their terms; model calls are processed by your model provider under theirs; the App is distributed for Apple platforms under Apple's applicable terms. We are not responsible for third-party services we don't control.

9. Our IP

We own the App and Platform software. Your subscription grants a limited, non-exclusive, non-transferable license to run the App on the licensed computer(s) for the term. Feedback you send us may be used to improve the product without obligation.

10. Disclaimers and liability

The App and Platform are provided “as is” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. To the maximum extent the law allows, our total liability for any claim is capped at the amounts you paid us in the 12 months before the claim, and neither of us is liable for indirect, incidental, or consequential damages. Some jurisdictions don't allow some of these limits; where that's you, they apply only as far as allowed.

11. Suspension and termination

You can stop using Zimac at any time. Leaving or deleting an organization is separate from deleting your personal account, cancelling a Stripe subscription, or erasing a device. Settle billing and eligible credits before deleting an org. We may suspend or terminate Platform access for breach of these terms, abuse, or non-payment; where practical we'll warn you first. Termination of Platform access doesn't touch the data on your device. Sections that by nature survive (5, 7, 9, 10, 12) survive.

12. Governing law

These terms are governed by the laws of the State of Delaware, United States, excluding its conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in Delaware, and both sides consent to their jurisdiction.

13. Changes

We may update these terms as the product evolves. Material changes will be announced on this site (and by email for paying customers) at least 14 days before they take effect; continuing to use Zimac after that means you accept them. The “last updated” date above always tells you the current version.
